Welcome to Foleio. These Terms of Service ("Terms") govern your access to and use of the Foleio platform, website, and services (collectively, the "Platform") operated by Foleio ("we," "us," or "our"). By accessing or using Foleio, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.
Foleio is a Nigerian creator monetization platform that enables creators to sell digital content, offer bookable services, and receive fan subscriptions. Fans and customers can discover creators, purchase content, subscribe to creator plans, and book services - all through a single platform with payments processed in Nigerian Naira (NGN) via Paystack.

Foleio is currently available to creators and users based in Nigeria. We may expand availability to other regions in the future.
Creator Accounts: Creators must complete the onboarding process, including providing valid bank account details and business information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at legal@foleio.com if you suspect any unauthorised access.
Fan Accounts: Fans and customers may interact with the Platform without creating a full account for certain actions (such as booking services or purchasing content). For recurring subscriptions and fan dashboard access, a lightweight email-based account is required.
Accurate Information: You agree to provide accurate, current, and complete information. Foleio reserves the right to suspend or terminate accounts where information is found to be false, misleading, or incomplete.
As a creator on Foleio, you agree to:
Foleio reserves the right to remove any content that violates these Terms and to suspend or terminate creator accounts for repeated or serious violations.
You retain full ownership of all content you upload to Foleio ("Creator Content"). By uploading content, you grant Foleio a non-exclusive, royalty-free, worldwide licence to host, display, stream, and distribute your content solely for the purpose of operating the Platform and providing the services to your fans and customers.
You must not upload any content that infringes any copyright or trademark, contains sexually explicit material involving minors, promotes violence or hate speech, is designed to deceive users, or violates any applicable Nigerian or international law. Foleio may remove content at its sole discretion without prior notice where it reasonably believes a violation has occurred.
Platform Transaction Fees: Foleio charges a transaction fee on all revenue generated through the Platform, based on your subscription plan:
These fees are deducted automatically before funds are credited to your creator balance. Paystack's own processing fees are charged separately.
Booking Payout Structure: For booking services, 60% of the booking amount is released to the creator upon confirmed payment, and 40% is held and released upon successful completion of the service.
Payout Processing: Payouts are made to your registered Nigerian bank account via Paystack. The minimum payout amount is ₦1,000. Payouts are typically processed within 1-3 business days.
Platform Subscription Plans: Creator platform subscriptions are billed monthly in advance. A 3-day free trial is available to first-time Pro subscribers only. You may cancel at any time; cancellation takes effect at the end of the current billing period.
Taxes: Creators are solely responsible for determining and paying any applicable taxes on income earned through Foleio, including VAT and personal income tax as required under Nigerian law.
As a fan or customer on Foleio, you agree to provide accurate payment information, not attempt to circumvent any paywall, not share premium access codes with others, only request refunds in good faith, and treat creators with respect.
Content Purchases: Due to the digital nature of content on Foleio, all sales of digital content are final and non-refundable once access has been granted, except where required by applicable law or where the content materially differs from its description.
Booking Disputes: Customers may raise a dispute for a booking within 48 hours of the scheduled service date if the service was not delivered as agreed. Disputes are reviewed by Foleio and resolved at our discretion. Where a refund is approved, it will be processed within 5-10 business days.
Platform Subscriptions: Platform subscription fees are non-refundable once charged, except in cases of billing errors on our part.
The Foleio name, logo, platform design, and all associated intellectual property are owned by Foleio and protected under applicable Nigerian and international intellectual property laws. You may not use our trademarks, logos, or branding without our prior written consent.
To the fullest extent permitted by Nigerian law, Foleio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform. Foleio's total liability to you for any claim shall not exceed the amount of fees paid by you to Foleio in the three months preceding the claim.
You agree to indemnify and hold harmless Foleio, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Platform, your content, your breach of these Terms, or your violation of any applicable law.
Foleio reserves the right to suspend or terminate your account at any time for any violation of these Terms. Any pending payout amounts owed to a creator at the time of termination for legitimate transactions will be processed in accordance with our standard payout schedule, subject to any outstanding disputes.
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act of Nigeria, seated in Lagos.
Foleio may update these Terms from time to time. We will notify you of material changes by email or by posting a prominent notice on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the updated Terms.
